These Terms of Service ("Terms") govern the licensing and use of the MID Convert software and its companion tools MID Generator, MID Pixelmap and MID Sync (together, the "Software"), provided by Pixels by Triaxis BV, a company registered in Belgium under enterprise number BE 0568.727.430 ("we", "us", "Pixels by Triaxis"). By downloading, installing, activating or otherwise using the Software, you ("you", the "Licensee") agree to these Terms. If you do not agree, do not install or use the Software.

1. The Software and licence model

The Software is distributed as a Windows installer. It may be run without an activation code in a limited trial mode. A paid licence, purchased through our payment provider Polar.sh, unlocks the full feature set via an activation code tied to one or more machines, depending on the licence tier purchased.

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software on the number of machines your activation code covers, for your own internal or professional use. You may not resell, sublicense, rent, lease, or distribute the Software or your activation code to third parties without our prior written consent.

2. Purchases and payment (Polar.sh)

All purchases are processed by Polar.sh, acting as merchant of record. Polar handles payment processing, applicable VAT/BTW collection, and invoicing. We do not receive or store your payment card details. Questions about a specific charge, invoice, or refund request are subject to Polar's own terms and payment policies in addition to these Terms.

Unless otherwise stated at checkout, and without prejudice to any mandatory statutory right of withdrawal that applies to consumers under Belgian and EU law, you acknowledge that once an activation code has been issued and the Software has been unlocked, the right of withdrawal for digital content supplied on a durable medium may no longer apply, to the extent permitted by Article VI.53, 13° of the Belgian Code of Economic Law (or its successor provision), where you have expressly requested immediate performance and acknowledged the resulting loss of the withdrawal right.

3. Intellectual property

The Software, including its source code, design, documentation, trademarks ("MID Convert", "MID Generator", "MID Pixelmap", "MID Sync" and associated logos) and all related intellectual property rights, is and remains the exclusive property of Pixels by Triaxis BV or its licensors. These Terms grant you a licence to use the Software; they do not transfer any ownership or intellectual property right to you.

You may not: reverse-engineer, decompile, or disassemble the Software except to the extent such restriction is expressly prohibited by applicable law; remove or alter any copyright, trademark, or other proprietary notice; or use our trademarks or branding without prior written permission.

Files you process with the Software (your source footage, exports, presets, and project files) remain entirely your own property. We claim no rights over content you create or convert using the Software.

4. Misuse, licence codes and termination

Each activation code is issued for use on the number of machines stated at purchase. Sharing, publishing, reselling, or attempting to circumvent the activation or machine-binding mechanism of an activation code constitutes misuse of this licence.

In the event of misuse, fraud, chargeback, or a breach of these Terms, we reserve the right to revoke or deactivate the relevant activation code(s), without prior notice and without refund, and to refuse future sales to the party involved. We reserve the right to take further legal action where misuse causes us damage.

You may stop using the Software and uninstall it at any time. Termination of your licence does not entitle you to a refund except where required by mandatory law or expressly granted at our discretion.

5. Disclaimer of warranties

The Software is provided "as is" and "as available", without warranty of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable Belgian and EU law. We do not warrant that the Software will be uninterrupted, error-free, or compatible with every hardware/software configuration, codec, media server, or driver version you use it with.

6. Limitation of liability

The Software is often used in live-event and broadcast environments. You are solely responsible for testing the Software and your full pipeline (encoding, playback, timecode, cabling and synchronisation) ahead of any live use, and for maintaining your own backups, redundancy, and contingency plans for show-critical operations.

To the fullest extent permitted by applicable law, Pixels by Triaxis BV, its founders, employees and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of revenue, profits, goodwill, data, or business opportunity, arising out of or in connection with the use of, or inability to use, the Software — including, without limitation, damages resulting from a failed, delayed, or incorrect render, encoding artefact, timecode drift, A/V sync error, LED cabling misconfiguration, or a live show or event disruption of any kind, even if we have been advised of the possibility of such damages.

Where liability cannot be excluded under mandatory Belgian law (including liability for fraud, gross negligence, or death or personal injury caused by our negligence), our total aggregate liability arising out of or in connection with the Software and these Terms shall in any event be limited to the amount actually paid by you for the licence giving rise to the claim in the twelve (12) months preceding the event giving rise to liability.

7. Free/trial use

Trial use of the Software is provided free of charge, entirely at your own risk, with no warranty or liability whatsoever from Pixels by Triaxis BV beyond what is mandatorily required by law for free-of-charge digital content under the Belgian Code of Economic Law.

8. Changes to the Software and these Terms

We may update, patch, or discontinue features of the Software, and may amend these Terms from time to time. Material changes to these Terms will be reflected by an updated "Last updated" date above. Continued use of the Software after such changes constitutes acceptance of the revised Terms.

9. Governing law and jurisdiction

These Terms are governed by Belgian law. Any dispute arising out of or in connection with these Terms or the Software that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of the judicial district where Pixels by Triaxis BV has its registered office, without prejudice to any mandatory consumer-protection jurisdiction rules that may apply in your favour.
